Essential Functions:
Respond to calls, emails, and workflow requests from attorneys, secretaries, and firm administration regarding the new business intake process.
Actively participate in the maintenance of client/conflict data in Elite 3E and Intapp to ensure the integrity and accuracy of conflict results.
Interact with attorneys regularly.
Process client-matter change request form requests in Elite 3E.
Requirements:
Successful candidate should have strong analytical skills with a background in database research. Law firm experience with working a basic understanding of the conflict and new business intake process, legal billing, or records management preferred. Experience with Intapp Conflicts & Business Intake and Elite 3E would be helpful. General computer skills with a proficiency in Outlook, Word and Excel. Individual should have strong organizational skills with the ability to handle multiple tasks simultaneously. Attention to detail and accuracy are a must. Flexibility to work overtime when needed. Must possess excellent customer service attitude. The successful candidate will need to have extensive experience working in a professional environment.
Mergers & Acquisitions Support
- Assist with all phases of M&A transactions, including LOI, due diligence, signing, closing, and post-closing integration.
- Manage and maintain virtual data rooms; coordinate document collection, organization, and review.
- Coordinate officer certificates, secretary certificates, consents, closing checklists, schedules, and exhibits.
- Coordinate signature packets, signature page collection, and execution logistics.
- Manage filing of UCCs
Corporate Governance & Entity Management
- Form and dissolve corporations, LLCs, and other business entities across multiple jurisdictions.
- Maintain corporate records, including bylaws, operating agreements, minutes, resolutions, and stock ledgers.
- Assist with Corporate Audit Letter Requests
General Corporate Support
- Assist with KYC/AML requests, certificates of good standing, and other corporate formalities.
- Provide administrative and project management support to attorneys and cross-functional teams.
Qualifications
- Bachelor’s degree or paralegal certificate required; ABA-approved program preferred.
- 3–7+ years of experience as a corporate paralegal, including direct involvement in M&A transactions.
- Strong understanding of corporate governance, entity management, and transactional processes.
- Exceptional organizational skills and attention to detail.
- Ability to manage multiple deadlines and workstreams.
- Demonstrated ability to work collaboratively with attorneys, business teams, and external stakeholders.
Preferred Experience
- Experience in a law firm corporate/M&A practice or in-house legal department.
- Familiarity with cap table management
- Experience with multi-jurisdictional entity management.
- Comfort working with highly confidential information and complex deal structures.
